Individual entrepreneur Eva Arturovna Widenmeer, hereinafter referred to as the “Contractor”, offers any interested individual person, hereinafter referred to as the “Participant,” to settle a contract for the provision of paid services (hereinafter referred to as the Agreement) on the terms of this Agreement.
In accordance with paragraph 2 of Art. 437 of the Civil Code of the Russian Federation, this Agreement is a public offer (hereinafter referred to as the Offer) and contains all the essential terms of the Agreement proposed for conclusion.
The agreement proposed by the Contractor for conclusion is considered concluded from the moment the Participant performs certain actions as acceptance of the Offer.
In accordance with paragraph 3 of Art. 438 of the Civil Code of the Russian Federation Acceptance of an offer is equivalent to concluding an agreement on the terms set out in the Offer, which is unconditionally accepted by the parties.
The fact of acceptance by the Participant of the terms of this Agreement is the payment of a deposit in a manner and in terms determined by this Agreement.
Terms used
The terms and definitions used in this Agreement, unless otherwise clearly follows from the context or otherwise is specifically established, are used in the following meaning:
Offer – current document – Paid services agreement.
Acceptance of an offer - full and unconditional acceptance of the offer by the Participant by performing the actions provided for in this offer.
Contractor – Individual entrepreneur Eva Arturovna Videnmeer, TIN:774328328210, PSRNSP: 320774600164842, address: 127299, Russia, Moscow, st. Kosmonavta Volkova, 5, apt. 56, website: https://retreat-svm.com.
The Website is an information resource of the Contractor, available online, located at https://retreat-svm.com, containing information about the conditions of the Retreat, including the Retreat schedule and rules of the Retreat.
The Website is a platform through which the Service can be directly ordered. The information on the site can be changed or updated at any time.
Participant is a fully capable individual person who has accepted the Offer and is gaining access to the Services under this agreement.
Retreat is a set of events organized by the Contractor under this Agreement, including accommodation, as well as other events provided for by the Retreat schedule.
Services – the Contractor’s services for organizing and conducting a retreat in accordance with the terms of the Offer.
Order - a Participant’s request to receive services for organizing a retreat under the conditions selected on the Site.
Master — the Retreat host, a spiritual advisor.
Public event– an event provided for in the Retreat schedule.
Deposit – funds transferred by the Retreat Participant before the provision of services, which is confirmation of full and unconditional acceptance of this public offer.
Donation – funds transferred for participation in the Retreat in the amount established in accordance with the selected conditions on the Site.
1. The Subject of the Agreement
1.1. The subject of this Agreement is the organization and carrying out of the Retreat by the Contractor.
1.2. Retreat program, location, duration of Services, method of placing an Order, convenience of accommodation, as well as other conditions (including the amount of donation), provided for the Participant of the relevant Retreat are posted on the Site and are updated for each Retreat.
1.3. The participant confirms acceptance of the terms of the Retreat after making deposit before participation in the Retreat.
2. Services duration
2.1. Services pursued under this Agreement are considered to be provided by the Contractor as from the date of the end of the Retreat.
2.2. Dates and programs of Retreats are posted on the Website.
2.3. Services are considered accepted by the Participant after 3 (three) calendar days as from the date of the Services have been provided, if within the specified period the Contractor has not received any motivated objections regarding the fact of acceptance of Services from the Participant. At the same time, the parties specifically stipulate that in order to recognize expenses of taxpayers incurred under civil contracts, act of provided services is a mandatory supporting document only in case the preparation of this document is mandatory in accordance with civil legislation and (or) concluded Agreement, whereas this Agreement is not one of these mandatory cases.
3. Rights and obligations of the parties
3.1. Responsibilities of the Contractor:
3.1.1.After payment, provide the Participant with the opportunity to participate in
accordance with terms and conditions of the Retreat posted on the website.
3.1.2.Comply with legal requirements regarding processing, transmission and
protection of the Participant’s personal data. 3.2. Rights of the Contractor:
3.2.1.Change the terms of this Offer by publishing changes on the website, which come into force from the moment of publication.
3.2.2. Place the Contractor’s corporate logo, as well as feedback from Participants about the quality of the Contractor's Services on the website and in its advertising materials for demonstration of the fact of cooperation with the Contractor and the quality of the provided Services.
3.2.3. Without the consent of the Participant, involve third parties for execution of actual Agreement. At which time Contractor is not responsible for illegal actions of third parties when providing services under this Agreement, but makes every effort to ensure the rights and interests of the Participant.
3.2.4.Require from the Participant the conscientious fulfillment of the undertaken obligations to pay for services.
3.3. Responsibilities of the Participant:
3.3.1.Make a deposit in the amount and within the time limits described in clause 5 of this Offer.
3.3.2.Provide reliable data, including the Customer’s personal data when registering in the Contractor’s telegram channel and reliable data, including personal, of the Customer when preparing payment documents while making donation.
3.3.3. Read the Rules of participation in Retreats on the Internet page at the Website and comply with their requirements. In case of violation by the Customer of the Rules of Participation in Retreats, the Contractor has the right to remove the Participant from the Retreat. In case of removal The participant is prohibited from continuing to attend the Retreat and services are considered provided in full and properly.
3.3.4.Do not use the information received from the Contractor in ways which may or will result in damage to interests and reputation of the Contractor, his authorized representatives or the Master.
3.3.5.Do not use materials provided by the Contractor for the purpose of making a profit by replicating them and reproducing them multiple times (publications in the press and other publications, public speaking, etc.) and other ways.
3.3.6.Notify the Contractor if you miss a tutorial for a valid reason before the time of the tutorial.
3.3.7.Do not assign your rights under the contract to third parties without the consent of the Contractor.
3.3.8.In case of missing an event/events of the Retreat due to reasons not depending on the Contractor, the Participant has no right to demand a repetition of the event,
enrolling the Participant in the next Retreat or providing them with the information contained at the event in a different form. In this case, services are considered provided by the Contractor properly.
3.4 Rights of the Participant:
3.4.1.Require proper fulfillment by the Contractor of their obligations under this Agreement.
3.4.2. Receive information from the Contractor on issues related to Retreat organization.
4. Procedure for concluding an agreement. Acceptance.
4.1. The Participant agrees to the Agreement by going to Telegram chat with the Contractor, leaving a request through the website and receiving a booking confirmation from the Contractor.
4.2. By accepting this offer, the Participant agrees with all the terms and conditions set out therein.
5. Donation and payment procedure.
5.1. Information on the amount of donation for participation in the Retreat is published on the Website.
5.2. The participant makes a deposit in the amount of 15,000 (Fifteen thousand) rubles 00 kopecks to confirm registration in the Retreat. The remaining part the Participant pays no later than the day the participation in the Retreat begins.
5.3. Deposit in the amount of 15,000 (fifteen thousand) rubles 00 kopecks, is carried out by the Participant by transferring funds to the current account of the Contractor via a link received from the Contractor, or via the chat bot in Telegram.
5.4. The date of payment of donation is considered to be the date of receipt of funds for the Contractor's bank account.
5.5. A deposit is the Participant’s confirmation of their intention to take part in the Retreat, it confirms their familiarization with and agreement to the Rules of participation in the Retreat, the deposit is not refundable. The parties agreed that the amount of the deposit corresponds to the actual expenses incurred by the Contractor to organize the processing of the Participant’s Application.
5.6. At the Participant's request, the deposit and donation can be made at a time.
5.7. A participant who has not provided donation on the day the Retreat begins will not be
allowed to attend the Retreat.
5.8. The parties agreed that in case of termination of the Participant’s participation in the Retreat before its end, or non-participation in the Retreat after making the deposit, for reasons not related to the Contractor’s failure to fulfill or improperly fulfill the terms of the Offer, the Contractor’s obligations are considered fulfilled in full and properly. In this case, donation and/or deposit is not refundable.
6. Validity period of the Offer
6.1. This Offer is valid from the date of its conclusion, which is considered the date of Acceptance of the Offer by the Participant, and until the date of completion of the Contractor’s provision of a specific service.
6.2. The Participant agrees and acknowledges that introducing changes to the Offer entails introducing these changes into the Agreement concluded and valid between the Participant and the Contractor, and these changes to the Agreement come into force simultaneously with such changes to the Offer.
6.3. Without conflicting with the terms of the Offer, the Contractor and the Participant have the right at any time to draw up a Services agreement in the form of a written bilateral document.
7. Responsibility of the parties
7.1. For non-performance or improper performance of obligations under this Offer, the Parties are liable in accordance with the legislation of the Russian Federation.
7.2. The parties are released from liability for non-performance or improper performance of the terms of this offer in case of force majeure circumstances, determined in accordance with the current legislation of the Russian Federation, if they present evidence that these circumstances prevented the completion of obligations under this Offer, such evidence is provided by documents from the competent authorities of the Russian Federation. From the moment the force majeure circumstances are eliminated, the Offer is valid in the usual procedures.
7.3. The Contractor is not responsible for the consequences resulting from the use of information obtained as a result of the provision of Services under this Offer.
7.4. If the Participant violates any of the obligations established under this Offer, the Contractor has the right to refuse to provide the Service. The Participant agrees that in this case the money paid is not refundable and is a penalty collected from the Participant in favor of the Contractor.
7.5. If the Participant violates any terms of the Agreement, the legislation of the Russian Federation, moral standards or technical requirements, the Contractor has the right to prohibit or limit access to the Retreat without giving reasons and without paying any damages.
7.6. The Contractor does not guarantee the effectiveness, practical applicability and value of the information obtained during participation in the classes; verification of any forecasts and predictions, and is not responsible for failure to fulfill them or consequences of their verification.
7.7. The Contractor is not responsible for the compliance of the content of the Retreat events with the Participant’s expectations.
7.8. The Contractor is not responsible for the consequences of decisions made by the Participant based on information received during the Retreat.
7.9. The Contractor is not responsible for other people who conduct consultations and training activities based on Contactor's information.
8. Other conditions
8.1. The information received by the Participant during the provision of the Service is the
intellectual property of the Contractor and is subject to protection in accordance with the legislation of the Russian Federation. Distribution of the received information or transfer to any third parties is not permitted.
8.2. The participant fully understands and accepts that he acquires the right to participate in the Retreat, at which all events are audio and video recorded, as well as broadcast live on the Internet. The Participant acknowledges and agrees that any joint photos and videos with the Master are the property of the Master, and the right to dispose of them belongs exclusively to the Master.
8.3. If disputes and disagreements arise, the Parties undertake to make every possible effort to resolve them in the pretrial order.
8.4. Disputes and disagreements on which the Parties have not reached an agreement shall be resolved in accordance with current legislation.
8.5. By accepting the terms of this Offer, the Participant agrees to receive SMS mailings from the Contractor, as well as other types of mailings and notifications of an informational nature (oral and written), using any means of communication, including, but not limited to the following: email, telephone, postal mailings. This consent may be revoked by the Participant at any time by sending a notification via email to the Contractor.
